Romark Closes $15 Million Private Equity Financing

Proceeds Used to Establish and Expand Manufacturing Capacity for the Company’s Products

TAMPA, Fla. – November 28, 2013 – Romark Laboratories announced today that it has closed a $15 million private placement of its Class C Preferred equity. Proceeds of the sale of the Class C shares are being used to establish and expand manufacturing capacity for the company’s products, including NT-300, an investigational new drug in late Phase 3 clinical development for the treatment of influenza.

"This financing has provided capital for acquisition of our new API (active pharmaceutical ingredient) manufacturing facility in Belgium and has allowed us to make important investments in our manufacturing processes associated with the development of NT-300," said Marc Ayers, President and Chief Executive Officer of Romark. "These investments provide a strong foundation for the continuing development of our business."

The Class C Preferred equity was sold at a price of $20 per share. Each share of Class C Preferred equity is convertible into one share of Common equity at the option of the holder. International Assets Advisory, LLC acted as Placement Agent for the transaction.
